A touch panel, a display device having the same and a manufacturing method thereof are provided to enable a backlight assembly and a display panel to has a structure where various kinds of layers are continuously laminated, thereby cutting a certain display panel together with a certain backlight assembly by using a physical cutting method. A touch panel(50) comprises the followings: a base board(51); a first transparent electrode layer(52) formed on the base board; an ultrasonic wave guided layer(53) formed on the first transparent electrode layer; a second transparent electrode layer(54) formed on the ultrasonic wave guided layer; an ultrasonic transmitter(55) and receiver(56) formed on the second transparent electrode layer; and a protection layer(58) formed on the second transparent electrode layer.
