An apparatus for encoding and decoding an audio signal and a method thereof are provided to represent the number of parameter bands applied to an OTT box or/and a TTT box by the fixed number of bits or the variable number of bits, thereby reducing the amount of transmission data. A bsResidualPresent field(1011) indicates whether a residual signal is applied to an OTT(One-To-Two) and/or a TTT(Two-To-Three) box. A bsResidualBands field(1012) indicates the number of parameter bands in the residual signal existing in the OTT and/or TTT box. The number of the parameter bands in the residual signal can be represented by the fixed number of bits or the variable number of bits. When the number of parameter bands is represented by the fixed number of bits, the residual signal can have a value less than the total number of parameter bands in an audio signal. The number of bits unnecessary to indicate the number of all parameter bands can be allocated.
