PURPOSE:To obtain the title copolymer which is excellent in organic solvent solubility and water solubility and into which various functional groups can be introduced, by reacting, if necessary, an alcohol with a copolymer comprising vinylidene fluoride with maleic anhydride. CONSTITUTION:Vinylidene fluoride and maleic anhydride each in a specified amount are copolymerized together at 0-150 deg.C and a pressure of 0-100kg/ cm<2>.G in the presence of a radical initiator (e.g., azobisisobutyronitrile) and, if necessary, the obtained copolymer is modified with an alcohol at 50-150 deg.C in the presence of a necessary amount of an alcohol and, e.g., a carboxylate catalyst such as zirconium octylate in a large excess of an alcohol or another organic solvent such as ethyl acetate. In this way, the title copolymer comprising 40-95mol% structural units of formula I, 5-60mol% structural units of formula II and 0-60mol% structural units of formula III (wherein R is H or an alcohol residue).
