PROBLEM TO BE SOLVED: To provide a software updating device, a portable terminal and a software updating system that can prevent unauthorized rewriting of software and enhance convenience for a user.SOLUTION: A software updating system 1 includes a server 10, a portable terminal 20 and a vehicle 30. The portable terminal 20 includes a smart key 22 and a smart phone 24. The smart key 22 stores a first common key. The vehicle 30 receives updated software and a first token transmitted from the server 10. Encryption is performed by using the first common key in the portable terminal 20, and an encrypted second token transmitted from the portable terminal 20 is received. The vehicle 30 decodes the encrypted second token by using a second common key paired with the first common key in the portable terminal 20. It is determined whether the first token and the decoded second token are coincident with each other, and software is updated when both the tokens are coincident with each other.SELECTED DRAWING: Figure 1
