An illuminating device and an electro-optical apparatus are provided to increase the amount of display light and suppress brightness stains, by forming appropriate patterns on respective faces of a light guiding plate. An illuminating device(50) comprises a light source(15) and a light guiding plate(10) having an incident face(10c) onto which a light is incident. A first diffusion pattern having plural concave and convex configurations is formed on the incident face of the light guiding plate correspondingly to the light source. A second diffusion pattern having plural concave and convex configurations is formed on a light exit face(10a) of the light guiding plate, or an opposite face(10b) of the light exit face. A first prism sheet(13a) and a second prism sheet(13b) are disposed to overlap each other on the light exit face of the light guiding plate. The first prism sheet has a plurality of prisms of which ridgeline directions are aligned. The second prism sheet has a plurality of prisms of which ridgeline directions are aligned across the ridgeline directions of prisms of the first prism sheet.
