PROBLEM TO BE SOLVED: To provide a heat conductive and vibration damping laminated sheet capable of allowing a heat conductivity and vibration damping properties to be compatible at a high level. SOLUTION: The heat conductive and vibration damping laminated sheet 2 comprises a heat conductive sheet 4 formed of a heat conductive material and a vibration damping sheet 6 formed of a vibration damping material. Both the sheets 4 and 6 are laminated in a state in which protrusions 4b, 6b formed on one surfaces of the bases 4a and 5a each formed in a flat plate-like state are inserted into holes 6c and 4c formed at another bases 6a and 4a. Distal ends of the protrusions 6b of the vibration damping sheet are projected from the surface of the base exposed externally of the sheet 4 side, and the surface of the base and the distal end of the protrusion 4b of the heat conductive sheet are formed in the same plane at the surface of the base exposed externally of the sheet 6 side. A recess for absorbing an influence of an elastic deformation generated by forcing when the protruding part of the protrusion 6b is forced to the surface of the base on the rear side of the protrusion 6b.
