Provided are an adhesive sheet which is capable of improving anti-static protective and pick-up properties and an optical member protected by the same. An adhesive sheet according to the present invention includes a first resin layer, an adhesive layer, a second resin layer and an adhesive material layer formed of adhesive composition in this order. The ratio between the sum of thicknesses of the first and second resin layers and a thickness of the adhesive layer is 0.50 or less. The storage modulus of the adhesive layer at the 23°C is greater than 1.0 × 10^4 Pa or less than 5.0 × 10^7 Pa. A top coating layer is formed on a surface opposite to the surface of the first resin layer which has the adhesive material layer. The top coating layer is formed of a top coating composition containing polyaniline sulfonic acid as a conductive polymer component, polyester resin as a binder component and isocyanate-based composition as cross linking agent. The adhesive material layer contains organopolysiloxane having oxyalkylene chain.
