PROBLEM TO BE SOLVED: To provide a metal gasket which has reliable sealing characteristics and can be used in a regulating valve. SOLUTION: Lip sections 2a1-2a5 are formed on an upper surface 2a of a ring section 2 at a shape of a concentric circle. Lip sections 2b1-2b5 are formed on a lower surface of the ring section 2 at a shape of a concentric circle. The lip sections 2a1-2a5, and 2b1-2b5 are set up to be thin-walled belts formed at a circular shape along a peripheral direction of the ring section 2 by inclining in an outer peripheral direction of the ring section 2. The lip sections 2a1-2a5, and 2b1-2b5 may be formed on upper surfaces 2a, 2b of the ring section 2 by cutting, or they may be joined on the upper surfaces of the ring section 2 by welding.
