PROBLEM TO BE SOLVED: To improve space-saving and construction performance and to improve heat efficiency by reducing leakage of air-conditioned air obtained by air-conditioning a bathroom. SOLUTION: This ventilating and air-conditioning device comprises a circulation fan 3 sucking air from a suction opening 5 formed at an indoor space such as a bathroom side and supplying the air from a supply opening 6, a suction opening 13 for sucking air under a roof, a ventilation fan 4 sucking air from the suction opening 5 and discharging the same outdoors, and a refrigerant circuit 17 constituted by successively connecting a compressor 18 compressing a refrigerant, a first heat exchanger 8 exchanging heat between the air distributed by the circulation fan and the refrigerant, an expanding mechanism 19 expanding the refrigerant, and a second heat exchanger 11 exchanging heat between the air distributed by the ventilation fan 4 and the refrigerant by piping, the refrigerant absorbs heat from the air discharged outdoors in the second heat exchanger 11, and the refrigerant releases the heat to the air circulated in the bathroom in the first heat exchanger 8 to heat the bathroom.
