PROBLEM TO BE SOLVED: To obtain a graft copolymer capable of giving a composition excellent in e.g. impact resistance when blended in e.g. a styrene-based resin, by grafting a graft component to a rubber polymer with a specific volume-average particle size by emulsion polymerization under specific conditions. SOLUTION: This copolymer is obtained, through aggregative enlargement process, by emulsion polymerization, using an emulsifier containing an emulsifying component <=35Å<2> in molecule-occupying area (e.g. potassium nonenylsuccinate), of a graft component composed of a vinyl cyanide compound (x), alkyl acrylate (y), aromatic vinyl compound (z) and a monomer (n) copolymerizable therewith and selected from alkyl acrylates, maleimide compounds and (meth)acrylic acid ((x), (y), (z) and (n) represent wt.% of the respective components) and having a composition satisfying the relationships: 45>=(x)+(y/4)>=5, (x+y+z+n)=100, 45>=(x)>=0. 90>=(y)>=0, 95>=(z)>=10, and 30>=(n)>=0 to a diene-based rubber polymer and/or acrylic rubber polymer 100-2,000 nm in volume-average particle size.
