PROBLEM TO BE SOLVED: To favorably perform lean burn even in acceleration in an internal combustion engine including a variable valve system and a supercharger. SOLUTION: This control device of the internal combustion engine includes: valve system 10, 110, 120 for changing the timing of opening and closing an intake valve and an exhaust valve which respectively adjust the intake quantity and the exhaust quantity; and superchargers 41, 42 for compressing intake air, and controls the internal combustion engine 200 where lean-burn is enabled. To be concrete, the control device includes: a combustion determination means 100 for determining whether or not the internal combustion engine performs lean-burn; an acceleration determination means 100 for determining whether or not an acceleration request is given to the internal combustion engine; and a control means 100 for controlling the variable valve system to increase an overlap mount between the valve opening periods of the intake valve and the exhaust valve in the case of satisfying a first condition that the lean-burn is decided and the acceleration request is decided.
