PROBLEM TO BE SOLVED: To provide a control device of an internal combustion engine for further stabilizing a combustion state, while preventing the occurrence of a torque shock, when transferring to an ordinary operation state from an idle operation state or when transferring vice versa. SOLUTION: Fuel is injected in response to a fuel control index (k) and an engine speed NE, by determining the fuel control index (k) in response to a cylinder inside oxygen quantity O2 in the ordinary operation state of applying an ordinary mode as a control mode. A low load mode is applied in a predetermined low load operation state, and the fuel control index (k) is determined in response to an accelerator pedal operation quantity AP in the low load mode. When the cylinder inside oxygen quantity O2 reduces up to a critical oxygen quantity O2C in the ordinary operation state, a mode transfers to the low load mode from the ordinary mode.
