Provided are a terpolymer, a resin film base prepared from the terpolymer, and a light diffusion film using the film base which is excellent in light transmittance, light diffusion, heat resistance and processability. The terpolymer is represented by -[-A-]l-[-B-]m-[-C-]n-, wherein A is a repeating unit derived from an alpha-olefin monomer; B is a repeating unit derived from a norbornene monomer; C is a repeating unit derived from a norbornene derivative monomer; the alpha-olefin is a compound of C2-C20 containing a terminal olefin group ;the norbornene derivative is represented by the formula 2 (wherein R is a C2-C20 alkyl group, an aryl group, an arylalkyl group or an alkylaryl group); l is 0.4-0.9; m is 0.1-0.6; n is 0.01-0.5; and l+m+n is 1. Preferably the terpolymer has a glass transition temperature of 80-280 deg.C and a dispersity of 2.0-3.5.
