PROBLEM TO BE SOLVED: To provide a thermoplastic resin composition excellent in transparency, heat resistance, impact resistance and toughness, and slight in aggravated discoloration attributable to rubber component compounding in particular. SOLUTION: The thermoplastic resin composition comprises a rubbery matter-containing polymer and a thermoplastic polymer composed of 25-50 wt.% of glutaric acid anhydride structural unit of the general formula(1) (wherein, R<SP>1</SP>and R<SP>2</SP>are each H or a 1-5C alkyl), 50-75 wt.% of unsaturated carboxylic acid alkyl ester unit,≤10 wt.% of unsaturated carboxylic acid unit and≤10 wt.% of other vinyl monomer unit.
