PROBLEM TO BE SOLVED: To provide a lens adjusting mechanism in which an inter-lens spacing in the axial direction is more easily adjustable, and also to provide a camera equipped therewith. SOLUTION: The lens adjusting mechanism is equipped with a first lens holding frame 42 for fixedly holding a first lens group G1 and with a moving cylinder 4 for movably holding this frame along the optical axis Z1 direction. The moving cylinder 4 is provided with an annular adjusting face 47 that opposes the first lens holding frame 42 and that undulates in the optical axis Z1 direction, while the first lens holding frame 42 is provided with a contact face 48 which is abutted on the adjusting face 47. As a result, it is possible to move the first lens group G1 along the optical axis Z1 direction by rotating around the optical axis Z1 and to perform relative spacing adjustment with the third lens group G3. Accordingly, the adjustment is made possible in a short period of time without using components for positional adjustment, thus the miniaturization and cost reduction is easily attained.
