<P>PROBLEM TO BE SOLVED: To provide an adhesive composition excellent in flame retardancy, migration resistance, adhesiveness and heat resistance while being halogen-free, to provide an adhesive sheet using the composition, to provide a coverlay film and to provide a print board material such as a copper-clad laminate. Ž<P>SOLUTION: The flame-retardant adhesive composition includes a halogen-free epoxy resin (A), a synthetic rubber (B), a hardener (C), and a specific phosphorus-containing benzoxazine compound (D). The adhesive sheet has a release substrate, and a layer formed of the composition provided on at least one side of the substrate. The coverlay film has an electric insulation film, and a layer formed of the composition provided on at least one side of the electric insulation film. The flexible copper-clad laminate has an electric insulation film, a layer or layers formed of the composition provided on one side or both sides of the electric insulation film, and one layer or two layers of copper foil on the one layer or two layers of the composition thus provided.
