PURPOSE: To obtain a top-coating composition having a specific composition, giving a coating film having excellent chemical performance, physical performance and weather resistance and exhausting little organic solvent and exhibiting excellent finished appearance when applied to a base coat on a substrate. CONSTITUTION: This top-coating composition is composed essentially of (A) a compound having >=2 functional groups of formula I (R<1> to R<3> are each H or a 1-18C organic group; R<4> is a 1-18C organic group; Y<1> is O or S), (B) a compound having >=2 reactive functional groups (preferably epoxy group, etc.) capable of forming a chemical bond with the functional group of formula I by heating and (C) fine particles of non-aqueous polymer composed of a copolymer of ethylenic unsaturated monomers and having an average particle diameter of 0.01-10μm and optionally contains (D) a thermal latent acid catalyst exhibiting activity in the thermal curing of the coating material. The content of the component C is 0.2-20wt.% based on the total solid content of the composition. The component A is preferably produced by reacting a compound having 2-50 carboxyl groups such as succinic acid with a compound of formula II. The component B is e.g. a bisphenol-type epoxy resin.
