PROBLEM TO BE SOLVED: To provide a novel catalyst and method necessary for forming a lightweight and more valuable product from a heavy hydrocarbon feedstock such as a residual oil. SOLUTION: Metal-impregnated carbonaceous particles having effective particle sizes in suspension of 0.01-50μm and physically carrying a sulfide of a water-soluble metal compd. contg. a sulfidizable metal selected from among molybdenum, cobalt, nickel, iron, vanadium, tungsten, and their mixtures are suspended in a reaction zone contg. hydrogen and a hydrocarbon feed material to give a dispersion; such conditions of the reaction zone as to be effective for converting the feedstock into a product having a b.p. lower than that of the feedstock are maintained; and the product having the lower b.p. is recovered.
