A catalyst for producing an aromatic vinyl compound polymer composition, which catalyst comprises (A) at least two kinds of transition metal compound having a pi -ligand, (B) an ionic compound composed of a non-ligand anion and a cation and/or aluminoxane, and optionally (C) a Lewis acid; and a process for producing a composition of an aromatic vinyl compound polymer wherein the aromatic vinyl chain has a highly syndiotactic structure by polymerizing (a) an aromatic vinyl compound and (b) an olefin or diene compound. The catalyst is highly active and can produce efficiently a resin composition comprising a homogeneous mixture of a syndiotactic aromatic vinyl compound polymer with a rubbery elastomer.
