PROBLEM TO BE SOLVED: To restrain vibration of a cushioning material and a tube nest caused by a barrel side fluid, to restrain erosion in the tube nest, and to enhance heat- exchange efficiency. SOLUTION: In this shell and tube heat-exchanger 10 having a large number of heat-exchanger tubes 12 in an inside of a barrel 11, and for introducing, at high speed, the barrel side fluid 14 of a heating medium or a coolant along a direction crossed with the heat-exchanger tubes 12 from a fluid introducing part 13 provided in the barrel body 11, the cushioning material 15 provided with a large number of openings 31 through which one portion of the barrel side fluid 14 passes is attached between the fluid introducing part 13 and the heat-exchanger tubes 12.
