PURPOSE:The titled polymer, obtained by copolymerizing an acrylic acid derivative with aromatic vinyl compound and conjugated diene in a specific proportion, satisfying specific physical properties, having improved vibration-proof characteristic, processability, fracture characteristic, etc., and suitable as vibration-proof materials. CONSTITUTION:A polymer, obtained by copolymerizing an acrylic acid derivative expressed by formula I (R1 is H or methyl; R2 is H or 1-10C alkyl) with an aromatic vinyl compound expressed by formula II [R3 is R1; R4 is H or 1-2C (halogenated) alkyl] and a conjugated diene expressed by formula III (R5-R8 are R1) at 1/99-100/0 weight ratio of the compound expressed by formula I to the compound expressed by formula II to give 40-85wt% content of the compound, expressed by formula III and linked in the copolymer and having >=20 deg.C temperature width of the glass transition temperature region and 20-180 Mooney viscosity (ML1+4, 100 deg.C). Styrene is preferably used as the compound expressed by formula II and 1,3-butadiene is preferred for the compound expressed by formula III.
