The present invention relates to a polymer dispersed LCD comprising a neutralized conductive polymer transparent electrode and a manufacturing method thereof, capable of preventing functional miss-operation of a device by reducing damage of a polymer dispersed liquid crystal layer. According to the present invention, a polymer dispersed LCD comprises: a substrate layer; a first neutralized electrode layer formed on the substrate; a polymer dispersed liquid crystal layer formed on the first electrode layer; a second neutralized electrode layer formed on the polymer dispersed liquid crystal layer; and a base layer formed on the second electrode layer.
