PROBLEM TO BE SOLVED: To provide an optical device and a light-emitting device which enable the increase in brightness.SOLUTION: An optical device comprises: a first optical layer 10; and a light scattering layer 50. The first optical layer has a first face 10a, and a second face 10b on the side opposite to the first face. The reflectance of the first face 10a to laser light incident on the first face 10a is 5% or less. The light scattering layer 50 is put on the second face 10b. The first optical layer 10 includes first and second optical films alternately arranged along a direction from the first face 10a to the second face 10b.
