PROBLEM TO BE SOLVED: To provide a graft copolymer suitable as a material for a thermoplastic resin composition which gives a molding excellent in impact resistance, suppression of bronze phenomena and surface smoothness and a thermoplastic resin composition.SOLUTION: A graft copolymer consists of a composite rubber polymer consisting of a composite of a polyorganosiloxane and an alkyl(meth)acrylate polymer and grafted with one or more vinyl monomers, and the composite rubber polymer has a volume average particle size of 100-200 nm and a ratio of particles of grain sizes of 300-500 nm occupying in all particles of the composite rubber polymer of 5-25 vol.%.
