PROBLEM TO BE SOLVED: To provide an aqueous resin composition which is much more solidified with a simple method without using an organic solvent and contains an aqueous resin dispersion and an adhesive imparting resin, and a method of preparing the same. SOLUTION: The aqueous resin composition having≥60% solidified portion is obtained by adding and dispersing the adhesive imparting resin liquefied by heating and a plasticizer into one of chloroprene rubber latex, an acrylic resin emulsion or a styrene-butadiene copolymer based resin latex in the presence of an emulsifier.
