PROBLEM TO BE SOLVED: To provide a variable-damping-force damper for easy manufacturing, reduction of manufacturing cost, and the like while using magnetorheological fluid and magnetic viscosity fluid as working fluid. SOLUTION: The damper 6 is provided with a cylinder 12, a piston rod 13, a piston 16 installed on a tip of the piston rod 13, and a guide disk 17 installed between the piston rod 13 and the piston 16. The piston 16 is composed of a roughly cylindrical piston main body 31 and four MLV (Magnetizable Liquid Valve) coils 32 fixed in an outer circumference of the piston main body 31. The piston main body 31 is a laminated part of silicon steel plates and a molded part of composite soft magnetic material, and has rectangular magnetic pole parts 31a projectingly provided on an outer circumference thereof at even angle interval. Outer diameter of the piston 16 is set smaller than an inner diameter of the cylinder 12 by predetermined quantity so that an outer circumference surface of the piston 16 can face an inner circumference surface of the cylinder 12 with a predetermined gap kept.
