PROBLEM TO BE SOLVED: To provide a resin sheet with excellent handleability and also excellent thermal conductivity and processability, and a laminate. SOLUTION: The resin sheet 2 includes a (meth)acrylic polymer (A), a first inorganic filler (B) having thermal conductivity of 10 W/m.K or more and new Mohs hardness of 3.1 or more, and at least one material (C) of an organic resin filler (C1) and a second inorganic filler (C2) having new Mohs hardness of 3 or less. In the resin sheet 2, the content of the first inorganic filler (B) is 20-60 vol% and the content of the material (C) is 1-40 vol%. The laminate 1 includes the resin sheet 2, a heat-generating component 3 laminated on one side 2a of the resin sheet 2, and a metal housing or heat-radiating component 4 laminated on another side 2b of the resin sheet 2.
