<P>PROBLEM TO BE SOLVED: To provide a cooling device which sufficiently increases a flow rate of air from a cooling fan, and also to provide a construction machine equipped with this cooling device. <P>SOLUTION: This cooling device 20 has the cooling fan 21, a shroud 40 provided on the outer circumferential side of the cooling fan 21, and a ring portion 51 provided on the shroud 40 and having an inner circumferential wall portion arranged in the vicinity of an outer circumferential portion of the cooling fan 21 and an outer circumferential wall portion provided around the inner circumferential wall portion such that the downstream side end in the air flowing direction is located on the downstream side in the air flowing direction more than the downstream side end in the air flowing direction of the inner circumferential wall portion.
