The present invention relates to a composite membrane. The composite membrane includes a matrix polymer containing a first monomer having a sulfonic acid group and a second monomer not having a sulfonic acid group; and carbon nanotubes dispersed in the matrix polymer. The carbon nanotubes are coupled with the branches of hydrophilic acid oligomers having n-number of third monomers having a sulfonic acid group and m-number of fourth monomers not having a sulfonic acid group whereas n is an integer of 1 or more and m is an integer of 0 or more. The present invention also relates to a membrane-electrode assembly (MEA) having the composite membrane and a membrane-electrode assembly (MEA).
