<p><P>PROBLEM TO BE SOLVED: To provide a fixing device for achieving a further reduction of the warm up time by reducing a heat capacity and to provide an image-forming apparatus having the same. <P>SOLUTION: The fixing device (14) for fixing images onto a recording medium comprises: a heating layer (72) that heats with external heat; a fixing belt member (45) that rotates around a shaft line extending in a width direction of the transferred recording medium, and heats toner images on the recording medium to fix the images onto the recording medium; and a backup member (46) that is provided inside the fixing belt member and forms a nip between the backup member and a pressure rotating body (44), which contacts an outer surface of the fixing belt member. The fixing belt member has a heat-insulating layer (70) that is arranged at an inner surface side of the heating layer and suppresses transmission of the heat generated in the heating layer to the backup member, and a heat-transferring layer (74) that is arranged at an outer surface side of the heating layer and transmits the heat generated in the heating layer to the nip.
