A heat-conductive adhesive sheet according to the present invention has an adhesive agent layer containing heat-conductive particles, said heat-conductive adhesive sheet being characterized in that one surface is an adhesive surface and the other surface is a non-adhesive surface. The heat-conductive adhesive sheet may have a non-adhesive layer only on one surface of the adhesive agent layer. In this case, it is preferred that the ratio of the thickness of the non-adhesive layer to the thickness of the adhesive agent layer (i.e., former/latter) is 0.04 to 0.6. The thermal resistance value of the adhesive sheet is preferably 6 K·cm2/W or less. The whole thickness of the adhesive sheet is preferably 50 to 500 μm.
