PROBLEM TO BE SOLVED: To provide a thermally conductive adhesive composition and a thermally conductive adhesive sheet which are free from the possibility of gelation and also free from the possibility of insufficient adhesiveness and tackiness.SOLUTION: A thermally conductive adhesive composition contains an adhesive, and thermally conductive particles. A main component of the adhesive is an acrylic adhesive with an acid value of 5 mgKOH/g or less, and a carboxylic acid-based dispersant is contained in an amount of 0.05-2.0 mass%.
