PROBLEM TO BE SOLVED: To provide a silencing device and a rotating machine in which the durability is improved by suppressing the deformation of a porous plate.SOLUTION: A silencing device includes: a frame in which a plurality of transverse frames 31 and longitudinal frames 32 are assembled in a grid shape; and a plurality of porous plates 22 which are formed of a number of gas passing holes and are fixed to a plurality of frame parts 33 formed on the frame 21. Therein, the porous plates 22 are disposed on the upstream side and the down stream side in the gas passing direction on the frame parts 33. The porous plates are disposed alternately on the upstream side and the downstream side in the gas passing direction with respect to the gas passing direction.
