PROBLEM TO BE SOLVED: To provide a mounting structure of a ceiling interior material preventing receding of the ceiling interior material, even when the ceiling interior material is pressed with a large load from the inside of cabin. SOLUTION: In the mounting structure 20 of the ceiling interior material 4, the ceiling interior material 4 is mounted on the cabin inside of an inner panel 12 that constitutes a vehicle body. A spacer member 10 is arranged between the inner panel 12 and the ceiling interior material 4. The spacer member 10 is provided with: locking parts 10a fixing the spacer member 10 onto the inner panel 12 by being locked to the inner panel 12; and abutting parts 10c abutting on an outside cabin side surface of the ceiling interior material 4. Regulation parts 10b transmitting a load received by the contact parts 10c from the ceiling interior material 4 to the inner panel 12 by abutting on the inner panel 12 are provided between the contact parts 10c and the locking parts 10a of the spacer member 10.
