The present invention relates to an adhesive resin composition for a multi-layer film comprising: modified polyolefin resin which polyolefin resin, dicarboxylic, acid or an acid anhydride of the sames is grafted; a tackifier; and an elastomer. The adhesive resin composition for a multi-layer film is applied to a multi-layer film requiring various functions such air and water blocking properties and excellent mechanical properties, and shows an excellent adhesive performance and improved mechanical properties like flexibility and shock resistance, and can be easily applied to a manufacturing process of a coextruded multi-layer film.
