<P>PROBLEM TO BE SOLVED: To provide a resin composition for optical films excellent in transparency, and an optical film obtained by processing the same and having a large in-plane retardation and small wavelength dependency. <P>SOLUTION: The resin composition for optical films includes 5-50 wt.% of one or more kinds of acicular or fusiform particles having optical anisotropy (A), 35-94.95 wt.% of a transparent polymer (B), and 0.05-15 wt.% of a polymer dispersant.
