PROBLEM TO BE SOLVED: To provide a method and an apparatus for manufacturing a mold which can prevent the breakage of a tool and form the surface of the mold in an exact negative shape. SOLUTION: The apparatus 1 for manufacturing a roll mold 5 having a surface shape for transferring the uneven shape of the circumferential face onto the surface of a sheetlike optical element has a cutting device 2 for cutting the circumferential face of the roll mold 5 while a cutting tool is rotated and an embossing device 3 for embossing the circumferential face of the roll mold 5. A recess formed by one device of the cutting device 2 and the embossing device 3 is subjected to further working by the other device to form the recess in the circumferential face of the roll mold 5.
