<P>PROBLEM TO BE SOLVED: To provide a small, high performance imaging optical system and an imaging device with the small, high performance imaging optical system. <P>SOLUTION: The imaging optical system according to the invention comprises five lenses, which are, in order from an object side, an aperture stop S, a first lens L1 of positive refractive power, a second lens L2 of negative refractive power, a third lens L3 of positive refractive power, a fourth lens L4 of positive refractive power, and a fifth les L5 of negative refractive power.
