<P>PROBLEM TO BE SOLVED: To provide a heat conducting sheet that is capable of achieving a desired thickness and a high thermal conductivity in a thickness direction and in a surface direction and is superior in mechanical strength. <P>SOLUTION: A heat conducting sheet 11 is formed of a mixture of graphite pieces 13 and a resin 12 in a sheet shape. In an area adjacent to the surface 11a of the heat conducting sheet, a-b axis of graphite pieces is oriented mainly in a surface direction of the heat conducting sheet, and in an inner area 11b of the heat conducting sheet, a-b axis of graphite pieces is oriented mainly in a thickness direction of the heat conducting sheet.
