<P>PROBLEM TO BE SOLVED: To provide a rubber composition capable of well-balanced improvement of fuel efficiency, abrasion resistance, processability, driving stability, and wet grip performance, and to provide a pneumatic tire using the same. <P>SOLUTION: The rubber composition includes a rubber component, silica, and a compound represented by specific formula, wherein at least one end of a conjugated diene-based polymer having a structural unit represented by formula (I) is modified by a compound represented by formula (II), and the content of the conjugated diene-based polymer is 5 mass% or more. In formula (I), X<SP POS="POST">1</SP>, X<SP POS="POST">2</SP>, and X<SP POS="POST">3</SP>each independently represents a group represented by the following formula (Ia), a hydroxyl group, a hydrocarbyl group, or a substituted hydrocarbyl group, and at least one of X<SP POS="POST">1</SP>, X<SP POS="POST">2</SP>, and X<SP POS="POST">3</SP>is the group represented by formula (Ia) or a hydroxyl group. In formula (Ia), R<SP POS="POST">1</SP>and R<SP POS="POST">2</SP>each independently represents a 1-6C hydrocarbyl group, a 1-6C substituted hydrocarbyl group, a silyl group, or a substituted silyl group, and R<SP POS="POST">1</SP>and R<SP POS="POST">2</SP>may bond to each other to form a ring structure with a nitrogen atom.
