<P>PROBLEM TO BE SOLVED: To provide a rubber composition well balancedly improved in low fuel cost, wet grip performance, and wear resistance; and to provide a pneumatic tire using the same. <P>SOLUTION: The rubber composition contains a rubber component, a silica and a silane coupling agent, wherein 100 mass% of the rubber component contains ≥5 mass% of the content of a conjugated dienic polymer which has a conjugated diene-based structural unit and a silicon-containing structural unit and at least one terminal of which is modified with a compound represented by formula (II); and the content of the silica with respect to 100 pts.mass of the rubber component is 5 to 150 pts.mass; and the silane coupling agent has a mercapto group.
