<P>PROBLEM TO BE SOLVED: To provide an acrylic rubber-based copolymer capable of providing a thermoplastic resin composition excellent in all of impact resistance, stiffness and external appearance, and the thermoplastic resin composition containing the acrylic rubber-based copolymer. <P>SOLUTION: The acrylic rubber-based graft copolymer which is the graft copolymer obtained by graft polymerizing a vinylic monomer in the presence of a rubber polymer containing the acrylic acid ester-based monomer unit and a polyfunctional monomer unit is provided by having 0.3 to 3 pts.mass total amount of the polyfunctional monomer unit in the rubber polymer based on 100 pts.mass acrylic acid ester-based monomer unit, and containing 30 to 95 mass% polyfunctional monomer unit having two unsaturated bonds and 5 to 70 mass% polyfunctional monomer unit having three unsaturated bonds based on 100 mass% total amount of the polyfunctional monomer units.
