<P>PROBLEM TO BE SOLVED: To provide an electrooptical device capable of cooling the device while suppressing a display defect, and to provide an electronic apparatus. <P>SOLUTION: An electrooptical device includes an electrooptical panel 100 formed by an electrooptical substance 50 sandwiched between a first substrate 10 and a second substrate 20; a dustproof member 30 disposed on the first substrate 10 on a side opposite to the electrooptical substance 50; and a heat transfer member 61 disposed on the dustproof member 30 on a side opposite to the first substrate 10 and having thermal conductivity higher than that of the dustproof member 30.
