<P>PROBLEM TO BE SOLVED: To provide an active vibration/noise suppressing device using a physical amount such as a torque fluctuation, which is not affected by a measurement dispersion, for properly changing an upper limit value of an absolute value for a control signal in adaptation control. <P>SOLUTION: A fuel consumption acquisition unit 120 acquires a fuel consumption using a unit time longer than the cycle of vibration or noises generated by an engine 10, as an acquisition cycle. An upper limit value change-over unit 130 changes over the upper limit value for limiting the absolute value for the control signal, based on the fuel consumption and the frequency of the vibration or noises generated by the engine 10.
