This invention is a sheet-form prepreg having carbon fibers and a matrix resin with which said carbon fibers are impregnated. This matrix resin contains a thermosetting resin, a curing agent, conductive particles of 1µm or smaller diameter, conductive particles of 5µm or larger diameter, and thermoplastic resin particles, wherein the conductive particles of 1µm or smaller diameter, the conductive particles of 5µm or larger diameter, and the thermoplastic resin particles are each distributed with a bias towards a specific portion in the prepreg. By means of the present invention, a prepreg is provided which makes it possible to manufacture a carbon fiber-reinforced composite material having both excellent impact resistance and good conductivity in the laminating direction.
