PURPOSE: A downlink beam forming apparatus and a method thereof in a two layer network are provided to minimize the complexity of a system by using a small amount of information for optimal beam forming through a backhaul link. CONSTITUTION: A beam forming coefficient determination unit(130) determines a normalized optimal beam forming coefficient which is normalized for a macro cell BS(base station). The beam forming coefficient determination unit optimizes transmission power allocated to the macro cell BS by using a first MSE(mean square error). The beam forming coefficient determining unit determines a beam forming coefficient of the macro cell BS by using an optimized transmission power. A beam forming unit(110) forms a beam for an information signal. A communication unit(140) transmits the optimized transmission power to a femtocell AP(access point)(200).
