PROBLEM TO BE SOLVED: To provide a halogen-free aqueous resin composition having a good close adhesion and bonding property with various plastic substrate materials, especially with a polyolefin substrate material, and can form a film or an adhesive layer, excellent in warm water resistant close adhesion, a method for producing the same and a coated article obtained by applying the aqueous resin composition on the plastic substrate material and drying. SOLUTION: This aqueous resin composition is provided by containing an acid-modified polyolefin (A) having a 50,000 to 150,000 weight-average molecular weight and an 18 to 45 mgKOH/g acid value, an organic solvent (B), a vinyl-based monomer (C), an emulsifying agent (D), water (E) and a polymerization initiator (F), also emulsion-polymerizing the vinyl-based monomer (C) in the composition (I) obtained by dissolving the acid-modified polyolefin (A) with the organic solvent (B) and then removing the solvent.
