PURPOSE: A composite optical sheet and a manufacturing method thereof are provided to improve brightness by eliminating an adhesive layer between a phase difference film and a compensating layer and forming the phase difference film and the compensating layer into one body. CONSTITUTION: A composite optical sheet comprises a phase difference film(10) and a compensation layer(20). The compensation layer is directly formed on one side of the phase difference film. The compensation layer comprises homeotropic liquid crystal molecules. The combination direction of the distribution of the homeotropic liquid crystal molecules is from -0.5degrees to 0.5 degrees. A stress dispersant is included between the homeotropic liquid crystal molecules. A first mat layer is formed on the other side of the phase difference film. A cholesteric liquid crystal layer is formed on one side of the compensation layer.
