PROBLEM TO BE SOLVED: To obtain a resin composition which, when cured, can give a matrix resin having excellent adhesion to a reinforcing fiber as well as good tensile elongation, bending modulus, and heat resistance by mixing a specified difunctional epoxy resin with a curing agent, a compound having a specified functional group and a specified partial structure and/or an aromatic-ring- containing polyester polyurethane. SOLUTION: This composition contains (A) a difunctional epoxy resin having a partial structure selected from structures of formulae I and II in the molecule, (B) a curing agent, (C) a compound containing one functional group reactive with the epoxy resin or with a curing agent therefor and a partial structure selected from structures of formulae I and III to V in the molecule and/or (D) a polyester polyurethane having aromatic rings in the molecule. The mixing ratio by weight is desirably such that 5-50 pts.wt. component A, 70-100 pts.wt., in total, component A and the difunctional epoxy resin other than A, 0.5-15 pts.wt. component C, 1-15 pts.wt. component D, and 1-15 pts.wt., in total, components C and D are present per 100 pts.wt. entire epoxy resin.
