<P>PROBLEM TO BE SOLVED: To provide a hydrogen generating apparatus which keeps a hydro-desulfurizer at a suitable temperature, is additionally integrated with the hydro-desulfurizer, and is compact, and to provide a fuel cell system provided with the same. <P>SOLUTION: The hydrogen generating apparatus includes: the hydro-desulfurizer 51 that has a first catalyst layer 11 composed to convert a sulfur compound contained in a raw material gas into a hydrogen sulfide and a second catalyst layer 12 composed to adsorb the hydrogen sulfide; a reformer 52 which generates a hydrogen-containing gas by reforming reaction using the raw material gas that has passed the hydro-desulfurizer 51; and a hydrogen-containing gas flow passage 54 which is provided to be adjacent to the reformer 52 through a partition 53 and through which the hydrogen-containing gas sent from the reformer 52 flows.
